Brian is a Partner with the Thomas Downing Law Firm who represents clients in transactions and litigation in a wide array of business and real estate matters. He has represented clients of all sizes in state and federal courts and arbitration and is licensed in Ohio, Kentucky, and Nevada.

In his litigation practice, Brian has an extensive and diverse background in complex commercial litigation, which includes contract disputes, shareholder and partnership disputes, fiduciary liability claims, business torts and fraud, defamation and business disparagement claims, restrictive covenant claims, liens, landlord-tenant disputes, construction defect, collection matters, quiet title actions, and corporate governance disputes. Brian takes a pragmatic approach to litigation and recognizes that the decision to litigate, either as a plaintiff or defendant, is a business decision and must be treated as such. And, while the cost of litigation is oftentimes difficult to predict, Brian takes proactive steps to manage cases efficiently and focuses on cost-effective solutions to obtain maximum results for his clients.

In his transactional practice, Brian has represented clients, both small and large, in corporate transactions which run the gamut from start-up to dissolution and everything in between. Whether your business needs assistance navigating a specific problem in your operations or you simply need help with strategic planning, Brian provides general counsel tailored to your specific business needs. Brian also has extensive experience representing clients in a multitude of real estate transactions, which include sales and acquisitions, development, zoning and land use issues, commercial leases, and easements. Additionally, Brian often serves as a 1031 exchange Qualified Intermediary, performing tax-deferred real estate exchanges under Section 1031 of the Internal Revenue Code on behalf of TD Exchange Company LLC.
